On July 31, 2023, Aldeyra Therapeutics, Inc. was sued for violations of the federal securities laws in the United States District Court for the District of Massachusetts on behalf of investors who purchased or otherwise acquired Aldeyra securities between March 17, 2022 and June 20, 2023, both dates inclusive (the “Class Period”).

On July 25, 2023, Sumo Logic, Inc. was sued for violations of the federal securities laws in the United States District Court for the Northern District of California on behalf of former public stockholders of Sumo Logic as of the April 3, 2023 record date to vote on the Merger transaction pursuant to which Sumo Logic merged into an affiliate of Francisco Partners Management, L.P. On July 12, 2023, Baxter International, Inc. was sued for violations of the federal securities laws in the United States District Court for the Northern District of Illinois on behalf of investors who purchased or otherwise acquired Baxter securities between May 25, 2022 and February 8, 2023, inclusive (the “Class Period”).

On July 10, 2023, Seagate Technology Holdings plc was sued for violations of the federal securities laws in the United States District Court for the Northern District of California on behalf of purchasers of Seagate common stock
between September 15, 2020 and October 25, 2022, inclusive (the “Class Period”).

On July 7, 2023, BioXcel Therapeutics, Inc. was sued for violations of the federal securities laws in the United States District Court for the District of Connecticut on behalf of investors who purchased or otherwise acquired BioXcel securities between December 15, 2021 and June 28, 2023, inclusive (the “Class Period”).

On June 30, 2023, ImmunityBio, Inc. was sued for violations of the federal securities laws in the United States District Court for the Southern District of California on behalf of investors who purchased or otherwise acquired ImmunityBio securities between May 23, 2022 and May 10, 2023, both dates inclusive (the “Class Period”).

On June 27, 2023, Cornerstone Building Brands, Inc. was sued for violations of the federal securities laws in the United States District Court for the District of Delaware on behalf of former shareholders of Cornerstone Building Brands, Inc. This action arises out of the “take-private” Merger announced by the Company on March 7, 2022, and the allegedly false and misleading proxy statement issued in connection with the transaction on May 24, 2022. Prior to the Merger, Clayton, Dublier & Rice, LLC (“CD&R”) controlled Cornerstone and its board of directors through CD&R’s ownership of 49% of the Company’s outstanding common stock. Pursuant to an Agreement and Plan of Merger, dated March 5, 2022, CD&R acquired the Cornerstone stock it did not already own for $24.65 per share in cash. The Merger had an enterprise value of approximately $5.8 billion.

On June 23, 2023, Arrow Financial Corporation was sued for violations of the federal securities laws in the United States District Court for the Northern District of New York  on behalf of investors who purchased or otherwise acquired Arrow securities between March 12, 2022 and May 12, 2023, both dates inclusive (the “Class Period”).

On June 21, 2023, GDS Holdings Limited was sued for violations of the federal securities laws in the United States District Court for the Central District of California on behalf of investors who purchased or otherwise acquired publicly traded GDS securities between April 12, 2021 and April 3, 2023, inclusive (the “Class Period”).
