The complaint alleges defendants provided investors with material information concerning claims that Papa Johns’ strategic transformation was working to stabilize and improve the Company’s growth potential. Defendants’ statements included, among other things, confidence in the Company’s strategic transformation and their ability to generate increased value and sustain competitive growth against a cautious consumer market through a “barbell strategy with strong value messaging and a compelling full margin product.”
Defendants provided these overwhelmingly positive statements to investors while, at the same time, disseminating materially false and misleading statements and/or concealing material adverse facts concerning the true state of Papa Johns’ transformation; notably, that it was “taking longer than expected,” and ultimately was unable to prevent further market share losses. Papa Johns ultimately required a significant shift in strategy toward a sharp increase in promotional efforts to abate the Company’s declining competitive position. Such statements absent these material facts caused Plaintiff and other shareholders to purchase Papa Johns’ securities at artificially inflated prices.
